Acceptance of Terms

By creating an account, accessing, or using any part of the MailStrike platform (“Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, “you” and “your” refer to that organization.

If you do not agree to these Terms, you must not access or use the Service.

Account Registration & Responsibilities

To use MailStrike, you must register an account by providing accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Promptly updating your information if it changes
  • Notifying us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account. MailStrike reserves the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

Acceptable Use Policy

You agree to use MailStrike only for lawful purposes and in compliance with all applicable laws and regulations. Prohibited activities include, but are not limited to, sending unsolicited bulk email (spam), distributing malware, and engaging in deceptive practices.

Payment Terms

Billing Cycles

Subscriptions are billed on a recurring basis - either monthly or annually, depending on your selected plan. Your billing cycle begins on the date you subscribe and automatically renews unless cancelled.

Taxes

All fees are exclusive of applicable taxes (including VAT, sales tax, and GST). You are responsible for paying any taxes associated with your use of the Service, except for taxes based on MailStrike’s net income.

Price Changes

We may adjust pricing from time to time. We will provide at least 30 days’ notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.

Intellectual Property

MailStrike Platform

The MailStrike platform, including its software, design, logos, trademarks, documentation, and all associated intellectual property, is owned by MailStrike Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the platform.

Your Content

You retain all ownership rights to the content you create, upload, or transmit through the Service (including email templates, contact lists, and campaign data). By using the Service, you grant MailStrike a limited license to process your content solely for the purpose of providing the Service.

Limitation of Liability

To the maximum extent permitted by applicable law, MailStrike and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

In no event shall MailStrike’s total liability exceed the amount paid by you to MailStrike during the twelve (12) months preceding the event giving rise to the claim.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Indemnification

You agree to indemnify, defend, and hold harmless MailStrike Inc., its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service or any violation of these Terms
  • Your content or email campaigns sent through the platform
  • Your violation of any applicable law, regulation, or third-party rights
  • Any unauthorized use of your account

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.

You agree to waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.

Modifications to Terms

MailStrike reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the “Effective Date” above. We may also send email notifications for significant changes.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree with the modifications, you must discontinue use of the Service.

Termination

By You

You may terminate your account at any time by contacting support or using the account deletion feature in your settings.

By MailStrike

We may suspend or terminate your account and access to the Service immediately, without prior notice, if you breach these Terms, engage in prohibited activities, or fail to pay applicable fees.

Effects of Termination

Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to comply with legal obligations. You may request data export before account termination.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions shall continue in full force and effect.
